This Agreement, dated ______________________ is between Shiftworker.com ("we," "us," "our" ) and ___________________ ("you" "your") and supersedes all prior agreements between these parties

This agreement applies to all Shiftworker.com "Shiftwork Train The Trainer," "Quality of Life for Shiftworkers, Their Families and Their Place of Work," Shiftworker News, training units, components, systems, seminars, workshops, training producers, participant materials and other materials in print and other media, and services, collectively referred to as the "Materials," ordered by you and accepted by us on and after the date of this Agreement.

1) We grant you a non-exclusive and nontransferable license to use the Materials to train your employees, both shiftworkers and shiftmanagers.

2) We require that trainers receive Certification through Shiftworker.com

3) We are the owners of all rights on the Materials, including all copyrights and trademarks.

You agree not to reproduce any of the Materials in whole or in part in any medium now known or hereafter invented or created without our written consent. Furthermore, you agree not to reuse or resell any such Materials.

Certified trainers may cut and paste designated pages, as announced in class, from the Shiftworker Train The Trainer Notebook as necessary to customize their training efforts.

4) You agree to pay a training fee of $_________ per participant (trainer) that you send to Shiftwork: Train The Trainer class.

You will be sending #___________number of trainers to Shiftwork:Train The Trainer class at a total fee of $__________. This fee entitles your trainer(s) to participate in the training and to receive and retain one set of participant materials for his/her own personal use only.

5) All current and future orders for Materials will be based upon published price lists in effect at the time of the order.

Prices are subject to change from time to time. All orders must be pre-paid in full. You agree to pay, in addition to our fees, all applicable taxes, as well as freight charges. This Agreement supersedes the terms and conditions of any purchase order submitted by you, whether before or after the date of this Agreement.

6) Our fees for services are not refundable.

7) Participant Materials may not be returned for refund or for credit without written permission from us.

You agree to pay all freight charges plus 15% restocking fee on all such authorized returned Materials.

9) Trainers receiving Certification will remain Certified for three years from date of last class period.

10) Certified trainers agree to use Shiftworkers and Shiftmanagers Notebooks only in a training environment and not as a resource for inquiring workers or managers. Notebooks were not created to "stand alone."

11) Certified trainers will provide training only for Shiftworkers or Shiftmanagers of contact company/individual, namely ____________________

12) Certified trainers will offer training only to Shiftworkers or Shiftmanagers in an educational environment to enhance lifestyle and workstyle adjustment. Shiftworkers and Shiftmanagers are not "Certified" through this process and may not engage in training for others.

13) Shiftworker.com agree to offer re-certification opportunities at end of three - year term. Notification will be sent to all Certified trainers.

14) Shiftworker.com agrees to provide annual research updates to each Certified trainer once a year for three years.
